Terms of Service

These Terms of Service govern your use of the QuipuSOL website and the accounting, bookkeeping, payroll, and advisory services we provide. By engaging our services or using our website, you agree to these terms.

Services

QuipuSOL provides bookkeeping, payroll administration, financial reporting, and fractional CFO services to Canadian businesses. The scope of services, fees, and deliverables for each client engagement are defined in a written Engagement Letter signed by both parties prior to commencement of work.

We do not provide legal advice or personal income tax preparation services. Clients requiring these services should engage a qualified legal professional or tax preparer.

Client responsibilities

Clients are responsible for:

  • Providing accurate and complete financial information in a timely manner
  • Reviewing and approving all deliverables (financial statements, payroll runs, filings)
  • Maintaining appropriate access credentials to shared accounting software
  • Promptly notifying us of any changes to their business that may affect our engagement

QuipuSOL is not responsible for errors or omissions arising from incomplete or inaccurate information provided by the client.

Fees and payment

Fees are outlined in the Engagement Letter. Unless otherwise agreed, invoices are due within 15 days of issuance. Overdue accounts may be subject to a 1.5% monthly interest charge. We reserve the right to suspend services on accounts more than 30 days overdue.

Confidentiality

We treat all client financial information as strictly confidential. We will not disclose client information to any third party except as required by law or as necessary to deliver the services outlined in the Engagement Letter. Please refer to our Privacy Policy for full details.

Limitation of liability

Our liability to any client for any claim arising from our services is limited to the fees paid by that client in the three months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.

Clients are responsible for reviewing all financial statements, payroll outputs, and filed documents and for raising any concerns promptly. Approved filings or statements may not be retroactively revised at no cost.

Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, we will provide the client with all financial records and documentation in a standard format within 14 business days. Outstanding fees remain due and payable upon termination.

Website use

The content on this website is for informational purposes only and does not constitute professional accounting, legal, or financial advice. No client-accountant relationship is created by use of this website. A formal engagement relationship is established only upon execution of a signed Engagement Letter.

Governing law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.
